Análisis de la eficacia del Decreto Legislativo N° 1409 sobre el régimen societario alternativo denominado Sociedad por Acciones Cerrada Simplificada

Abstract

En el presente trabajo de investigación, se analiza la eficacia que tuvo el Decreto Legislativo N.o 1409, mediante el cual, se aprobó la creación de un nuevo régimen societario, la Sociedad por Acciones Cerrada Simplificada (en adelante, SACS), en el marco de la delegación de facultades en el Poder Ejecutivo para legislar en materia de gestión económica y competitividad, a través de un régimen menos oneroso y expeditivo en la constitución de empresas formales, que implica la posibilidad de la inscripción de dicho tipo de sociedad valiéndose solamente del Sistema de Intermediación Digital (SID) de la Superintendencia Nacional de Registros Públicos (en adelante, SUNARP) y prescindiendo de la formalidad del uso de la escritura pública para el acto constitutivo de la sociedad. De esta manera, con el número de constituciones de la SACS proporcionada por SUNARP a través del Acceso a la Información Pública y, haciendo uso de un análisis exegético y funcional, se evidenciará la eficacia del decreto legislativo objeto de la presente investigación y se cuestionará si realmente resultó necesario contar con un nuevo cuerpo normativo para este régimen societario cuyo objeto es el ejercicio común de las actividades económicas.

In this research work, the effectiveness of Legislative Decree No. 1409 is analyzed, through which the creation of a new innovative corporate regime was approved, which is the Simplified Closed Share Company (hereinafter, SACS), with the clear objective of reduce informality in Peru and promote the economy in the market, this through the reduction of costs and the simplification of the constitution process, which implies the possibility of forming a company using the Digital Intermediation System (SID) of Superintendencia Nacional de Registros Públicos (hereinafeter, SUNARP) and leaving aside the formality of the constitution through the use of a Public Deed. This is how, using an exegetical, functional analysis and with numerical information provided by Public Registries, through access to information, we will demonstrate the real situation of the success and/or viability of the aforementioned Legislative Decree and we will question whether it really It was necessary to have a new regulatory body for this corporate regime.
